Welcome to Toyztic. These Terms of Service ("Terms") govern your use of our B2B educational toy manufacturing and OEM/ODM services. By engaging with our services, you agree to be bound by these Terms.

Toyztic is a professional manufacturer with 12+ years of experience in educational toy design and production, serving brands, wholesalers, and retailers across Belt & Road Initiative countries.

2. Our Services

OEM/ODM Manufacturing: Custom educational toy design and manufacturing services for international brands and distributors. Quality Assurance: Professional quality control with 10+ years experienced personnel across 8 production lines. Compliance Certification: Products meeting international safety standards including EN71, ASTM, CPC, and RoHS certifications. B2B Partnership: Exclusive services for qualified businesses with annual purchase volumes exceeding USD 5 million.

3. Eligibility & Partnership Requirements

• Business Entity: Must be a registered business entity (brand, wholesaler, or retailer) • Purchase Volume: Minimum annual purchase commitment of USD 500,000 • Geographic Focus: Priority given to Belt & Road Initiative countries • Compliance: Must comply with local import regulations and safety standards • Credit Verification: Subject to business credit and reference verification

4. Orders & Manufacturing Process

Order Confirmation: All orders require written confirmation and signed manufacturing agreements. Production Timeline: Standard lead time is 30-45 days from order confirmation, subject to complexity and volume. Quality Control: All products undergo multi-stage quality inspection before shipment. Modifications: Design changes after production commencement may incur additional costs and delays. Minimum Orders: Minimum order quantities apply based on product category and customization level.

5. Payment Terms

• Payment Schedule: 30% deposit upon order confirmation, 70% before shipment • Payment Methods: Wire transfer (T/T), Letter of Credit (L/C) for qualified partners • Currency: All pricing in USD unless otherwise specified • Late Payment: 1.5% monthly service charge on overdue amounts • Credit Terms: Extended payment terms available for established partners

6. Quality Assurance & Warranty

Manufacturing Standards: All products manufactured according to approved specifications and international safety standards. Defect Rate: Guaranteed defect rate below 0.5% under normal use conditions. Warranty Period: 12-month warranty against manufacturing defects from delivery date. Remedy: Defective products will be replaced or credited at our discretion. Inspection Period: Claims must be reported within 30 days of delivery.

7. Intellectual Property

Custom Designs: Client-commissioned designs remain client property upon full payment. Toyztic IP: Our proprietary designs, processes, and technologies remain our exclusive property. Confidentiality: Both parties agree to maintain confidentiality of proprietary information. Third-Party Rights: Client warrants that their designs do not infringe third-party IP rights.

8. Limitation of Liability

Toyztic's liability is limited to the value of the specific order in question. We are not liable for indirect, consequential, or punitive damages. Force Majeure: We are not responsible for delays caused by circumstances beyond our reasonable control. Client Responsibility: Clients are responsible for compliance with local regulations and proper product usage instructions.

9. Termination

• Either party may terminate with 30 days written notice • Immediate termination for material breach or insolvency • Existing orders remain valid through completion • Confidentiality obligations survive termination

10. Governing Law & Dispute Resolution

Governing Law: These Terms are governed by the laws of the People's Republic of China. Dispute Resolution: Disputes will be resolved through arbitration in accordance with China International Economic and Trade Arbitration Commission (CIETAC) rules. Jurisdiction: Courts of Guangdong Province have exclusive jurisdiction for enforcement matters.
